Terms of Service

The legal agreement between True Line International LLC and your firm when you use AuditPro Suite.

1. About these terms

These Terms of Service ("Terms") govern your use of the AuditPro Suite software ("Software"), website (auditprosuite.com), and related services. The Software is published by True Line International LLC, Oman commercial registration on file, with registered office at Office 706, 7th Floor, Building 94, Way 319, Ghalah, Muscat, Sultanate of Oman.

By installing, deploying, or using the Software, your firm ("Customer") agrees to these Terms.

2. Licence grant

Subject to these Terms and payment of applicable fees, we grant Customer a non-exclusive, non-transferable, revocable licence to install and use one production instance of AuditPro Suite for Customer's internal audit-firm operations, limited by the user-seat tier purchased (1-5 / 6-15 / 15+ users).

Customer may run additional non-production instances (development, staging, training) without additional fee.

Customer retains all rights to the data it processes through AuditPro Suite, including audit working papers, financial statements, employee records, and client information ("Customer Data"). We claim no ownership of Customer Data.

The Software, including its source code, architecture, design, brand assets, and documentation, remains the intellectual property of True Line International LLC.

5. Fees & payment

Licence fees are payable in OMR per the tier purchased. Invoices are issued at the start of each billing period (typically annual) and payable within 30 days. Late payment incurs a 1.5% per month surcharge or the maximum permitted under Oman law, whichever is lower.

Customer is responsible for all applicable VAT (5% Oman standard rate) and any withholding taxes imposed in their jurisdiction.

6. Support & maintenance

The first 12 months of a paid licence include email + chat support 9 AM-6 PM Sun-Thu (Asia/Muscat) and software updates within the same major version. After 12 months, an annual maintenance fee (typically 18% of licence fee) renews these benefits.

We aim to respond to support requests within 4 working hours and resolve critical issues within 24 working hours, but make no binding service-level commitments unless agreed in a separate written SLA.

7. Updates & deprecation

We may release updates, including security patches, bug fixes, and feature additions. Customer is encouraged to apply security patches promptly. Major-version upgrades may require migration steps documented in release notes; we provide a minimum of 12 months' notice before deprecating any production-critical feature.

8. Warranties

We warrant that, at delivery, the Software conforms in all material respects to the specifications in the then-current product brochure and user manual. We do NOT warrant that:

Customer remains responsible for the audit judgements, conclusions, and signed reports produced through the Software. The Software is a tool; the auditor is the professional.

9. Limitation of liability

To the maximum extent permitted by Oman law, our total aggregate liability for any claim arising out of or related to these Terms or the Software is limited to the licence fees paid by Customer in the 12 months immediately preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, or punitive damages, lost profits, lost business, or lost data, even if advised of the possibility of such damages.

10. Indemnification

Each party will defend the other against third-party claims arising from its breach of these Terms or its gross negligence or wilful misconduct, subject to the limitation in Section 9.

Either party may terminate for material breach uncured after 30 days' written notice. On termination:

Each party will protect the other's confidential information using the same degree of care it applies to its own (and not less than reasonable care). Customer Data is Customer's confidential information. The Software, source code, and pricing are our confidential information.

13. Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, civil unrest, internet outages, or governmental actions.

14. Governing law & jurisdiction

These Terms are governed by the laws of the Sultanate of Oman. The parties submit to the exclusive jurisdiction of the courts of Muscat. Disputes may, by mutual agreement, be referred to arbitration under the rules of the Oman Arbitration Centre.

15. Entire agreement

These Terms, together with any signed order form, constitute the entire agreement between the parties regarding the Software and supersede all prior discussions or proposals.
